1. Agreement to Terms

By accessing or using Merixia's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

2. Services Description

Merixia provides a governance and readiness intelligence platform for institutions that build and fund startups. Our services include:

• Stage gate governance infrastructure
• Evidence and validation tracking
• Readiness and risk scoring
• Portfolio and cohort analytics
• Reporting and documentation

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Provide accurate and complete information
• Keep your account information up to date
• Notify us immediately of any unauthorized access
• Use your account only for lawful purposes

4. Data Ownership

Your Data: You retain all ownership rights to your raw data, evidence, and reports. You may export your data at any time.

Our Data: Merixia owns the scoring models, algorithms, and anonymised, aggregated benchmark data derived from platform usage.

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Interfere with platform security or integrity
• Attempt to gain unauthorized access
• Use the platform for fraudulent purposes
• Share your account credentials
• Reverse engineer our software

6. Payment Terms

Pilot program fees are due upon acceptance of the pilot agreement. Annual licensing fees are billed annually in advance. All fees are non-refundable except as required by law.

7. Limitation of Liability

To the maximum extent permitted by law, Merixia shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the services.

8. Termination

We may terminate or suspend your account immediately if you breach these Terms. Upon termination, your right to use the platform ceases, but you retain the right to export your data for 30 days.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
